Terms and Conditions of Credit

TERMS AND CONDITIONS OF CREDIT ("Terms and Conditions")

Definitions

Contract means the contract for provision of credit on the terms and conditions set out below that will be formed between you and DHL if DHL in its absolute discretion accepts your application for a credit account.

DHL/We Us means DHL (Express) Australia Pty Limited ABN 62 001 112 929 carrying on business under its own name or any other name and includes its employees and agents.

Goods means any cargo received from you including any container, packaging or pallets received by you or on your behalf.

You means the account applicant as detailed opposite.

Invoicing and Due Dates

1) The following payment terms shall apply with invoicing intervals defined below. You will pay DHL the invoice amount on the due date defined for the relevant product and invoicing interval shown below.

2) Invoices will be posted to the latest address notified to DHL in writing, and shall be deemed delivered 2 days after posting.

3) You shall inform DHL promptly in writing of any change in your business or postal address or any change in your business structure.

4) For shipments under External Billing or Transport Collect arrangements (subject to prior approval by DHL), you will pay for all services provided and expenses incurred by DHL, should the receiver refuse to pay or if DHL is unable to collect payment for any reason.

5) You accept that you will be charged a 2% disbursement fee for all government charges/duty/sales tax charged to your account.

6) You agree to fully reimburse and indemnify DHL against any government taxes and charges that DHL may pay or be required to pay on its own account or on your behalf under any law in connection with you or any Goods.

7) For all shipments, we comply with IATA (International Air Transport Assoc.) regulations and charge the greater of either the volumetric weight or the actual weight and you acknowledge and accept this. By submitting your application for a credit account, you acknowledge and accept that any Goods transported for you by DHL at any time will be transported under a separate contract of carriage between you and DHL on the terms and conditions of carriage specified below as amended from time to time (which are also printed on the reverse of DHL's standard air waybill), to the exclusion of any other agreements or terms and conditions except this Contract. DHL may amend its standard terms and conditions of carriage at any time without notice.

Claims by/against DHL

8) You shall at all times indemnify, keep indemnified and hold harmless DHL from and against any loss, damage, and/or expense sustained or incurred by it as a direct or indirect consequence of granting you a credit account.

9) For any breach of this Contract or any subsequent contract of carriage between you and DHL , DHL may commence legal action against you. You shall be liable for any charges and fees related to such legal actions, including legal costs on a full indemnity basis. You agree that this Contract shall be governed by the laws of New South Wales Australia and you will submit to the non-exclusive jurisdiction of the Courts of New South Wales.

10) DHL need not enforce all terms and conditions at all times. This does not constitute a waiver of them for any subsequent occasion.

11) No claim that you may have against DHL may be set-off against liabilities incurred by you before the claim is made and approved by DHL in writing.

Validity

12) DHL in its absolute discretion may approve or reject your application for a credit account. If approved, DHL in its absolute discretion may terminate your credit account at any time without giving notice of termination to you.

13) You may terminate your credit account by giving DHL at least 30 days written notice.

14) Upon termination of your credit Account you shall pay DHL all outstanding amounts within 7 days.

15) If any provisions or part provisions of this Contract are held to be, or become, illegal, invalid or unenforceable, they shall be deemed deleted. This does not affect the validity of the remaining provisions or part provisions.

16) You:

• accept that if you are late or default in any payment under DHL's payment terms, then the full amount becomes immediately due and payable, and credit facilities may be withdrawn at any time;

• if payment is not made in accordance with DHL's terms and conditions then DHL shall without prejudice to any other remedy be entitled to charge interest and administration charges at the rate of 10% per annum. You shall also be liable for any legal and associated costs incurred by DHL in seeking recovery of amounts owed by you or the receiver of any Goods if the receiver refuses to pay or if DHL is unable to collect payment for any reason;

• agree that DHL may give to and seek from any credit reporting agency or other credit providers personal and/or commercial credit information about the applicant including information about credit worthiness, credit standing, credit history or credit capacity that credit providers are allowed to give or obtain under the Privacy Act, and use this information to assess this application, notify other credit providers of a default by you, or collect overdue payments.

17) You, the applicant, are solely responsible for the management and security of your DHL account number. When individuals contact DHL holding themselves out to be your authorised representative and quoting your account number, DHL is entitled to rely on that person acting with your authority. DHL can accept no responsibility for unauthorised use of account numbers (although DHL will ensure that its own records of your account details and number are kept secure and confidential).

18) If you are a sole trader or partnership at the time of signing this credit application and later incorporate, then you agree to be personally liable for any debts incurred after the date of incorporation.

19) You must at any time take such action including execute such documents as DHL may consider necessary or expedient to give full effect to this Contract or any provision of this Contract.
